Cometeer Affiliate Program Terms & Conditions

Effective Date: 4/10/2025
These Affiliate Program Terms & Conditions (“Agreement”) are entered into by and between

Cometeer, Inc. (“Company,” “we,” “us,” or “our”) and you (“Affiliate,” “you,” or “your”) upon your acceptance into the Cometeer Affiliate Program (“Program”).

By applying to or participating in the Program, you agree to abide by the following terms:

1. Program Participation
1.1 Eligibility
You must be at least 18 years old to participate and have an active social media presence, blog,
or other digital platform.

1.2 Approval & Revocation
We reserve the right to approve or reject any application and may revoke participation at any
time, for any reason, at our sole discretion.

2. Affiliate Responsibilities
2.1 Promotion of Products
You agree to promote Cometeer products authentically and accurately, with respect to our brand and content guidelines wherever possible.

2.2 FTC & Legal Compliance
You must comply with all applicable laws, including FTC disclosure requirements (e.g., use of #CometeerPartner, #ad, or other relevant tags to disclose material connection).

2.3 Content Standards
Content may not promote hate speech, discrimination, or misinformation, and must not include competitor promotion without written approval.

3. Commissions & Payment

3.1 Commission Structure
You will receive a commission of 20% per qualifying sale tracked through your unique affiliate link or promo code. Commission rates are subject to change with notice.
Qualifying sales are defined as follows:
● >$35
● First time purchases from new customers that have never purchased before from Cometeer

3.2 Payment Terms
Commissions will be paid monthly via Tremendous, within 30 days of the date on which the commission amount is communicated.

3.3 Chargebacks, Refunds & Fraud
If a customer you referred cancels or returns their purchase, or if a transaction is deemed
fraudulent, the related commission may be withheld or deducted from future payouts.

4. License & Usage Rights
4.1 Affiliate Content Ownership
You retain all rights to content you create under this Program (“Affiliate Content”).

4.2 Limited Organic Use by Company
By participating in the Program, you grant Cometeer a non-exclusive, royalty-free, revocable license to repost or share your Affiliate Content organically (i.e., not in paid advertising) on Cometeer’s owned digital channels (e.g., Instagram, TikTok, website), with clear credit/tagging.

This license is limited to use only in connection with the Affiliate Program and may be revoked at any time by written notice from you.

4.3 No Paid Usage Without Separate Permission
Cometeer will not use your content for paid advertising (including boosted posts,
whitelisting, or use in paid media campaigns) without your prior written consent and/or a
separate agreement. If we wish to license your content for paid usage, we will reach out directly to negotiate terms and compensation.

4.4 Use of Cometeer Materials
Cometeer may provide you with certain logos, images, and messaging (“Creative Materials”). You are granted a limited, non-transferable license to use these solely for promoting Cometeer during your participation in the Program. Misuse or alteration of these assets is prohibited.

5. Term & Termination
5.1 Term
This Agreement becomes effective on the date of your acceptance and will remain in force until terminated by either party.

5.2 Termination Rights
You or Cometeer may terminate participation in the Program at any time, for any reason, with written notice.

5.3 Post-Term Obligations
Upon termination, you must immediately stop using affiliate links, codes, and Cometeer’s
intellectual property. Any unpaid commissions for eligible sales up to the date of termination will be paid according to the regular payout schedule.

6. Confidentiality
You agree not to disclose any non-public information about commissions, program structure, upcoming product launches, or internal communications without written consent, during or after your participation.

7. Indemnification
You agree to indemnify and hold harmless Cometeer and its affiliates against any losses, claims, or damages arising from your participation in the Program, including any claims related to your content or violation of applicable laws.

8. Disclaimers & Limitation of Liability
We do not guarantee any specific income or sales results from your participation. To the
maximum extent allowed by law, Cometeer shall not be liable for indirect or incidental damages, even if we have been advised of the possibility.

9. Miscellaneous

● Independent Contractor: You are an independent contractor and not an employee, partner, or agent of Cometeer.
● Governing Law: This Agreement will be governed by the laws of the State of [Insert
State].
● Modifications: We may update these Terms at any time. Continued participation after changes are made constitutes acceptance.

By participating in the Cometeer Affiliate Program, you confirm that you have read, understood, and agree to these Terms.
